These Terms of Service ("Terms") govern your use of the Vault mobile application and website at the-vault-app.com (collectively, the "Service") operated by Vivid Group Holdings, Inc. ("we", "our", or "us").
By downloading, installing, or using Vault, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age to use Vault. By using the Service, you represent and warrant that you are 18 or older. If we learn that a user is under 18, we will terminate their account and delete their data.
You must have the legal capacity to enter into a binding agreement in your jurisdiction. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
You may use Vault anonymously or create an account with your email address and a password. You are responsible for:
You may not create accounts using automated means, or create accounts for others without their consent.
You agree to use Vault only for lawful purposes and in accordance with these Terms. You must not:
Your content: You retain all ownership rights to photos, videos, and other content you upload to Vault ("Your Content"). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely to provide the Service to you.
We do not claim ownership of Your Content and do not use it for advertising, training machine learning models, or any purpose other than operating the Service.
Our content: The Vault app, website, and all associated software, designs, and trademarks are owned by Vivid Group Holdings, Inc. and are protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without our express written consent.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully.
Vault offers three tiers: Free, Vault Plus, and Vault Gold. Paid subscriptions are available on a monthly or yearly basis.
Vault allows you to share albums with other users via QR code, deep link, or SMS. When you share an album:
The Nearby feature shows you other Vault users in your geographic area. The Spark feature allows anonymous photo rating among nearby users. By using these features:
We reserve the right to review, remove, or restrict access to any content that violates these Terms. Users may report content or other users through the in-app reporting system. We may take action including content removal, account suspension, or permanent ban for violations.
We use automated systems to detect certain categories of prohibited content. Automated detections are reviewed by our moderation team before action is taken, except where immediate action is required to protect user safety or comply with legal obligations.
By you: You may delete your account at any time through Settings → Account → Delete Account. Deleting your account permanently removes your profile, all uploaded media, and all account data.
By us: We may suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, pose a risk to other users, or for any other reason at our sole discretion. We will generally provide notice unless immediate action is necessary.
Upon termination, your right to use the Service ceases immediately. Sections 4, 11, 12, 13, and 14 of these Terms survive termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any content stored through the Service will not be lost.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIVID GROUP HOLDINGS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
You agree to defend, indemnify, and hold harmless Vivid Group Holdings, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
You waive any right to participate in a class-action lawsuit or class-wide arbitration.
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending a push notification or in-app notice. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
If you downloaded Vault from the Apple App Store, Apple's terms and conditions also apply to your use of the app. Apple is not responsible for the Service and has no obligation to provide support for it. In the event of a conflict between these Terms and Apple's App Store terms, Apple's terms will govern solely with respect to your relationship with Apple.
